Subcontract Flow-Down Provisions: Making Sure Your Subs Have the Same Obligations You Have to the Owner
Flow-down provisions in subcontracts make the subcontractor subject to the same obligations the GC has to the owner. Done right, flow-down protects the GC from carrying obligations their subs aren't committed to. Done poorly, it creates gaps where the GC has obligations to the owner that the sub doesn't share — meaning the GC absorbs the exposure. Understanding what should flow down and how to write flow-down clauses that actually work is basic contract hygiene that many contractors miss.
